Terms and Conditions
These Terms and Conditions ("Terms") govern your use of the website 404found.studio and any services provided by 404Found Studio ("we", "us", "our"), a web development and digital technology company based in Malaysia. By engaging our services or accessing this website, you agree to be bound by these Terms.
1. Services
404Found Studio provides the following services:
- Web Development — Design and development of websites including landing pages, business websites, and e-commerce stores.
- Custom Web Applications — Development of SaaS platforms, marketplaces, management systems, and other bespoke web applications.
- Digital Consulting — Technical consulting, system architecture advice, and AI integration planning.
- Maintenance & Support — Ongoing website maintenance, performance optimisation, and technical support.
All service scopes, deliverables, timelines, and fees are defined in a separate Project Agreement or Service Proposal issued to the Client prior to commencement of work.
2. Payment Terms
Unless otherwise agreed in writing:
- A non-refundable deposit of 50% of the total project fee is required before any work begins.
- The remaining 50% is due upon project completion, prior to the final handover of files, credentials, or live deployment.
- For larger projects with defined milestones, payments may be structured per milestone as outlined in the Project Agreement.
- All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated.
- Invoices are due within 7 days of issue. Overdue payments may result in work being paused until settlement.
- We reserve the right to charge interest on overdue invoices at a rate of 1.5% per month.
3. Project Delivery & Revisions
Estimated timelines are provided in good faith and are subject to the Client's timely provision of content, feedback, and approvals. Delays caused by the Client may result in revised delivery dates.
Revision rounds included in each package are as specified in the Project Agreement. Additional revisions beyond the included rounds will be charged at our standard hourly rate of RM150/hour, unless otherwise agreed.
We consider a project complete when all agreed deliverables have been provided and final payment received. Post-delivery changes are subject to a separate support or change-request agreement.
4. Intellectual Property
Upon receipt of full and final payment:
- The Client is granted full ownership of the final website or application, including all custom-designed assets and code written specifically for the project.
- We retain the right to display the completed work in our portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing.
We are not responsible for ensuring that any client-supplied content (text, images, logos) does not infringe third-party intellectual property rights. The Client warrants that they have the right to use all content supplied to us.
Third-party tools, frameworks, libraries, plugins, and assets used in projects remain subject to their respective licences (e.g. open-source licences, commercial licences). We will notify the Client of any third-party licences with material cost implications.
5. SaaS & Platform Services
Where 404Found Studio develops and hosts a SaaS platform on behalf of the Client, or where the Client subscribes to a hosted system we operate:
- Access to the platform is subject to active subscription or hosting fees remaining paid.
- We will provide commercially reasonable uptime. Planned maintenance will be communicated in advance where possible.
- Client data stored within the platform remains the property of the Client. We will not use Client data for any purpose other than operating the platform on the Client's behalf.
- Upon termination, we will provide a data export in a common format within 30 days of the request.
- We reserve the right to suspend access to platforms where fees are overdue by more than 14 days, and to terminate after 30 days of non-payment.
6. Client Responsibilities
The Client agrees to:
- Provide all required content, materials, and access credentials in a timely manner.
- Nominate a single point of contact authorised to approve decisions and sign off deliverables.
- Ensure that all information provided to us is accurate and lawful.
- Not use any website or system we build for unlawful, fraudulent, or harmful purposes.
- Maintain the security of any login credentials provided as part of the project handover.
7. Confidentiality
Both parties agree to keep confidential any proprietary information, trade secrets, or sensitive business information shared during the engagement. This obligation survives termination of the agreement.
We will not disclose Client business information, project details, or data to third parties without explicit written consent, except where required by law.
8. Limitation of Liability
To the fullest extent permitted by Malaysian law:
- Our total liability for any claim arising from our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
- We are not liable for any indirect, incidental, or consequential loss, including loss of business, revenue, or data.
- We are not liable for issues arising from third-party services, hosting providers, payment gateways, or software used within the project unless the fault is directly attributable to our negligence.
- We are not liable for security breaches resulting from the Client's failure to maintain secure passwords or promptly apply updates after handover.
9. Termination
Either party may terminate the engagement with 14 days' written notice. In the event of termination:
- All work completed up to the date of termination is payable, proportional to the agreed project fee.
- The deposit is non-refundable in all circumstances.
- We will deliver all completed work assets to the Client upon receipt of outstanding payment.
- If the Client terminates within 7 days of a milestone payment due date, that milestone payment becomes due.
10. Warranties & Disclaimer
We warrant that our services will be performed with reasonable skill and care. We do not warrant that any website or application will be entirely free from errors or that it will meet any specific performance benchmarks not explicitly agreed in writing.
This website and all content on it is provided "as is" without warranty of any kind. We make no representations about the accuracy or completeness of any content on this site.
11. Governing Law & Disputes
These Terms are governed by the laws of Malaysia. Any dispute arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
12. Changes to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be published on this page with a revised effective date. Continued use of our services after any update constitutes acceptance of the revised Terms.
